136 its natural Court to that of the Colony.

I will now give you in greater detail the Creasons for my proposals. As I say we cannot do without the registry

which would be a branch of the Hongkong registry. Whilst as regards the only outstanding difference of view as to jurisdiction, if we cannot arrange it, I should like to have it referred to the Departments at home who would no doubt if necessary obtain the Law Officers' advice. Though there is to be one registry, and that

in Hongkong, it is at the same time necessary that we should have in Shanghai an officer with whom the numerous documents can be filed, in duplicate if necessary, and to whom the prescribed returns should be made; and that there should be open to inspection in Shanghai all registers, lists &c., which would be available there were the registry itself in Shanghai. This is necessary for facilitating the business of the companies and for the protection of the public interested in them; and I think the representatives of the British Government in China are entitled, without having to apply to Hongkong, to information about companies, which have to be protected and which will probably have to fulfil some extraordinary conditions. We should have got all this with the branch office of the London Registry, which we contemplat- -ed and I do not think that we can surrender it, because the Hongkong Government is to have a deputy here instead of the Board of Trade.
